3.1 Street Crossing & Emergencies

NEVER use GV Discover to cross streets, roads, or any area with vehicular traffic. Always use established O&M techniques and accessible pedestrian signals.

GV Discover is NOT an emergency system. In an emergency, call 911 (US) or your local emergency number. The app may be subject to network delays, outages, or battery failure.

3.2 AI Accuracy & Hallucinations

GV Discover uses AI that may occasionally produce incorrect, incomplete, or fabricated information (“hallucinations”). 

Do not rely solely on AI output for:

● Prescription medication labels or dosages

● Financial, legal, or safety-critical documents

● Navigation or wayfinding in hazardous environments

Accuracy can also be affected by poor lighting, camera angle, blur, or unusual fonts. Always verify critical information through independent means.

4. Description of Services

4.1 GV Discover (Mobile App)

GV Discover is an iOS and Android application providing AI-powered scene description, text reading (OCR), object detection, a conversational AI companion (powered by Google Gemini), and optional GPS navigation. Most features require an internet connection. Available via monthly or annual subscription, and via institutional license under a GoVivid MSA.

Access requires a GoVivid-issued access code. The app is available as a free download on the Apple App Store and Google Play Store; no purchases are made through those platforms.

4.2 Institutional Access

Schools, employers, nonprofits, businesses, and other organizations may license GV Discover for their users under a GoVivid Master Service Agreement (MSA). If you are accessing the Services through an institutional license, your access rights, data protections, and support terms are defined by your Institution’s MSA. These Terms apply to your individual end-user conduct. Contact hello@govivid.ai to learn more about institutional licensing.

5. Account Registration & Acceptable Use

5.1 Account Requirements

To access Services, you must register with your name, email, password, and date of birth. You agree to provide accurate information, maintain its currency, and keep your password confidential. You are responsible for all activity under your account.

To delete your account, go to Settings > Account > Delete My Account or email hello@govivid.ai. Personal data will be deleted within 90 days (see Section 8 for exceptions). Institutional users should contact their administrator before requesting individual account deletion, as the Institution’s MSA governs data deletion timelines.

5.2 Prohibited Conduct

You agree NOT to:

● Use the Services for any unlawful purpose or to harm others

● Attempt to gain unauthorized access to systems, probe for vulnerabilities, or introduce malicious code

● Reverse engineer, decompile, or create competing products from our software

● Use automated tools (bots, scrapers) without our written permission

● Impersonate others, create multiple accounts to evade restrictions, or misrepresent your identity

● Upload content that infringes intellectual property rights, invades privacy, or is defamatory or obscene

We reserve the right to suspend or terminate accounts that violate these Terms without refund.

6. Software License, IP & Third-Party Services

6.1 License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to use GV Discover solely for personal, non-commercial purposes. Institutional users receive a license scoped by their Institution’s MSA, which may permit broader organizational use. This license excludes sublicensing, sale, or use to build competing products.

We may automatically push critical security updates. Feature updates require your consent.

6.2 Intellectual Property

All GoVivid intellectual property -  including software, hardware designs, user interfaces, content, trademarks, logos, and patents - is owned by GoVivid Co. or its licensors. GoVivid’s patent portfolio covering navigation, 3D audio, and hazard detection.

GoVivid®, DirectMe®, GV Discover, Seymour, and Iris are trademarks of GoVivid Co. Do not use them without written permission.

To report copyright concerns, email legal@govivid.ai with a description of the work, location of infringing material, and your contact information.

6.3 Third-Party Services

Our Services integrate with Google Gemini Vision API, Google Gemini Live API, Google Maps Platform, Firebase, and Stripe. Use of these services is subject to their respective terms. GoVivid is not responsible for third-party failures, inaccuracies, or security breaches.

GV Discover is distributed via the Apple App Store and Google Play Store as a free download. These platforms are not involved in billing, access entitlement, or data processing for the Services.

7. User Content, Privacy & Data

7.1 Your Content & License

You retain ownership of content you create, upload, or share through the Services (“User Content”). By submitting User Content, you grant GoVivid a worldwide, non-exclusive, royalty-free license to use it solely to provide and improve the Services, or train AI models if you explicitly opt in (Settings > Privacy > Contribute to AI Improvement). We will not sell your User Content or use it for advertising without your consent.

If you access the Services through an institutional license, your Institution retains ownership of all data submitted through your account (“Customer Data”) as defined in the MSA. GoVivid’s use of Customer Data is governed by the MSA, which controls in any conflict with this section for institutional account holders.

7.2 Anonymized & Aggregated Data

Notwithstanding the above, GoVivid may collect, retain, and use anonymized and aggregated usage data derived from all users’ use of the Services - including users under institutional licenses - for product improvement, AI model training, safety research, and analytics. Such anonymized data contains no personally identifiable information and is owned by GoVivid. GoVivid will not use it to identify you, your Institution, or any individual user. This right applies as a condition of using the Services and is separate from the individual AI improvement opt-in in Section 7.1.

7.3 Biometric Data

Facial recognition and person-identification features (when available) are disabled by default. Enabling them constitutes explicit consent to collect and process biometric data (facial geometry, faceprints). You may withdraw consent and request deletion at any time via Settings > Privacy. We will never sell biometric data. Illinois residents: we comply with BIPA (740 ILCS 14).

7.4 Privacy Policy

Your use of the Services is governed by our Privacy Policy at www.govividco.com/legal/Privacy_Policy, which covers data collection, use, sharing, your rights (access, correction, deletion, portability), and compliance with GDPR, CCPA, FERPA, and other applicable laws. Most personal data is deleted within 90 days of account deletion; legal compliance data (e.g., transaction records) may be retained for up to 7 years as required by law.

8. Disclaimers & Limitation of Liability

8.1 Services Provided “As Is”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND - EXPRESS OR IMPLIED - INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR UNINTERRUPTED AVAILABILITY.

Our Services do NOT provide medical, legal, financial, or other professional advice. Always consult qualified professionals for those needs.

8.2 Liability Cap

GoVivid’s total liability for any claim arising from the Services shall not exceed the total amount you paid in subscriptions during the 12 months prior to the claim, or $100, whichever is greater. For institutional customers, liability is governed by the applicable MSA, which may specify a different cap.

IN NO EVENT SHALL GOVIVID BE LIABLE FOR INDIRECT, CONSEQUENTIAL, INCIDENTAL, PUNITIVE, OR SPECIAL DAMAGES, INCLUDING LOST PROFITS OR DATA LOSS, REGARDLESS OF THE LEGAL THEORY - EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Nothing in these Terms limits liability for death or personal injury caused by GoVivid’s negligence, fraud, or any liability that cannot be excluded under applicable law.

8.3 Indemnification

You agree to indemnify and hold GoVivid harmless from claims, losses, or expenses (including reasonable attorneys’ fees) arising from: (a) your misuse of the Services or violation of these Terms; (b) your User Content; (c) your violation of any law; or (d) third-party claims caused by your actions.

9. Dispute Resolution

9.1 Informal Resolution First

Before filing any claim, email legal@govivid.ai describing the dispute and your desired resolution. We will respond within 30 days, and both parties will negotiate in good faith for 60 days. Most issues are resolved at this stage.

9.2 Binding Arbitration

If informal resolution fails, individual end-user disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (www.adr.org), conducted in Fort Worth, Texas (or your location at your request). The arbitrator’s decision is final and may be entered as a court judgment.

Institutional dispute carve-out: This arbitration clause applies to individual end-user disputes only. Disputes between GoVivid and an Institution that has signed a GoVivid MSA are governed exclusively by the MSA. Individual users at an Institution may still invoke these arbitration provisions for claims arising solely from their personal use of the Services.

9.3 Class Action Waiver

YOU AND GOVIVID EACH WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTIONS OR REPRESENTATIVE PROCEEDINGS. ALL DISPUTES ARE RESOLVED INDIVIDUALLY. EITHER PARTY MAY BRING INDIVIDUAL CLAIMS IN SMALL CLAIMS COURT INSTEAD OF ARBITRATION WHERE ELIGIBLE.

9.4 Opt-Out Right (30-Day Window)

You may opt out of binding arbitration and the class action waiver by emailing legal@govivid.ai with the subject line “Arbitration Opt-Out” within 30 days of first accepting these Terms. Include your name, email, and account username. After 30 days, this right expires. If you opt out, disputes are resolved in state or federal courts in Fort Worth, Texas.

9.5 Governing Law

These Terms are governed by Texas law. If arbitration does not apply, jurisdiction and venue lie in Tarrant County, Texas.

International Users: If you are located outside the United States, nothing in these Terms limits any rights you may have under the mandatory consumer protection laws of your country of residence. To the extent local law prohibits mandatory arbitration or class action waivers, Sections 9.2 and 9.3 do not apply to you, and disputes will be resolved in the courts of your country of residence.

10. General Terms

10.1 Modifications

We may update these Terms at any time. For material changes, we will notify you by email (to your registered address) and in-app banner at least 30 days before the effective date. For Institutional Users, GoVivid will also notify the Institution’s designated administrator. Continued use after that date constitutes acceptance. If you disagree, delete your account before the effective date.

10.2 Termination

We may suspend or terminate your access - with or without notice - for violations of these Terms, illegal activity, safety risks, 2+ years of account inactivity, or as required by law. If we terminate for cause, subscription fees are non-refundable. Sections 3, 8, 9, and 10 survive termination.

Institutional Users: account termination is also governed by the Institution’s MSA. GoVivid will follow MSA data deletion timelines upon institutional account closure.

If we discontinue the Services, we will provide at least 90 days’ notice where commercially reasonable.

10.3 Miscellaneous

These Terms, together with the Privacy Policy, any applicable MSA, and any supplemental agreements, constitute the entire agreement between you and GoVivid. If any provision is unenforceable, it will be modified minimally or severed; all remaining provisions continue in full force. Our failure to enforce any right is not a waiver. You may not assign your rights without our written consent. GoVivid may assign these Terms in connection with mergers, acquisitions, or asset sales with 30 days’ notice.

Neither party is liable for force majeure events (natural disasters, government actions, infrastructure failures, pandemics, etc.); obligations resume when the event ends. If a force majeure event lasts more than 90 days, either party may terminate the affected Services with written notice.
